3. Engagements and proposals

Anything you submit through our contact form or a call is an inquiry, not a contract. A binding engagement begins only when we and you agree in writing to a proposal or statement of work describing the scope, deliverables, timeline, and fees.

4. Fees and payment

Fees are stated in the applicable proposal and are typically billed as a one-time setup charge plus a recurring monthly amount for ongoing services, unless stated otherwise. Payments are processed through our third-party payment processor. Unless agreed in writing, fees are non-refundable once work has begun, and recurring charges continue until the engagement is cancelled under its terms.

5. Client responsibilities

If we build a system for you, you're responsible for providing accurate information and any necessary access, and for using the system in compliance with applicable laws — including telecommunications, messaging, recording-consent, and privacy rules that apply to how you contact and handle your own customers. You are the controller of the customer data your system collects.

6. AI-generated output

Our systems use artificial intelligence, which can produce inaccurate or unexpected results. AI output should be reviewed before being relied upon for important decisions. We don't warrant that AI output will be error-free or fit for any particular purpose.

7. Intellectual property

The content, branding, and design of this website are owned by STROPK.AI. Ownership of work product created during a paid engagement is governed by the applicable proposal or agreement. We retain the right to use our underlying tools, methods, and know-how across engagements.

8. Third-party services

Our work often integrates third-party platforms (for example, voice, communications, automation, payment, and hosting providers). Your use of those platforms may be subject to their own terms, and we are not responsible for their availability, performance, or policies.

9. Disclaimers

The website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the site or services will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the fullest extent permitted by law, STROPK.AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the services will not exceed the fees you paid to us in the three months preceding the event giving rise to the claim.

You agree to indemnify and hold STROPK.AI harmless from claims arising out of your use of our services in violation of these Terms or applicable law, including how you use a system we build to contact or handle your customers.

Either party may end an engagement as described in the applicable agreement. We may suspend or restrict access to the website or services if we reasonably believe these Terms have been violated.

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Michigan.
